1. Agreement to Terms

By accessing or using Zolance ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Zolance is a freelance management platform that provides:

  • GST-compliant invoice generation and management
  • Proposal creation and client acceptance tracking
  • Client relationship management
  • Email delivery of invoices and proposals
  • Financial reporting and analytics

We reserve the right to modify, suspend, or discontinue any part of the Service at any time without notice.

3. User Accounts

3.1 Account Creation

To use Zolance, you must:

  • Be at least 18 years old
  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Keep your password secure and confidential
  • Not share your account with others

3.2 Account Responsibility

You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other security breach.

3.3 Account Termination

We reserve the right to suspend or terminate your account at our discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

4. Subscription and Payments

4.1 Subscription Plans

Zolance offers both free and paid subscription plans:

  • Free Plan: Limited features (5 invoices/month, 5 proposals/month)
  • Pro Plan: ₹199/month — Unlimited invoices and proposals, all features

4.2 Billing

For paid subscriptions:

  • You will be billed on a recurring monthly basis
  • Payments are processed through Razorpay
  • All fees are in Indian Rupees (INR) and include applicable GST
  • You authorize us to charge your payment method automatically each billing cycle

4.3 Cancellation and Refunds

  • You may cancel your subscription at any time
  • Cancellations take effect at the end of the current billing period
  • No refunds for partial months or unused features
  • Refunds may be provided at our sole discretion for technical issues

4.4 Price Changes

We reserve the right to modify subscription prices. We will provide at least 30 days' notice before any price changes take effect. Continued use of the Service after price changes constitutes acceptance of the new pricing.

5. Acceptable Use

5.1 Permitted Use

You may use Zolance only for lawful purposes and in accordance with these Terms. You agree to use the Service for legitimate business purposes related to freelancing and invoicing.

5.2 Prohibited Activities

You agree NOT to:

  • Use the Service for any illegal or fraudulent purposes
  • Generate fake or fraudulent invoices
  • Violate any applicable tax laws or GST regulations
  • Upload viruses or malicious code
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Use automated systems (bots, scrapers) without permission
  • Impersonate another person or entity
  • Harass, abuse, or harm other users
  • Reverse engineer or attempt to extract source code

6. Intellectual Property

6.1 Our Rights

The Service and its original content, features, and functionality are owned by Zolance and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Your Rights

You retain all rights to the content you create using the Service (invoices, proposals, client data). By using the Service, you grant us a limited license to store and process this content solely to provide the Service to you.

6.3 Trademark

"Zolance" and our logo are trademarks of Zolance. You may not use these marks without our prior written permission.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. Please review our Privacy Policy to understand our practices regarding the collection and use of your information.

You are responsible for ensuring that your use of the Service complies with all applicable data protection and privacy laws, including obtaining necessary consents from your clients.

8. Tax Compliance

You acknowledge that:

  • You are responsible for the accuracy of all GST calculations and tax information
  • You must ensure your GSTIN and tax registrations are current and valid
  • Zolance provides tools but does not provide tax advice
  • You should consult with a qualified tax professional for tax matters
  • You are solely responsible for filing GST returns and paying taxes

9. Disclaimers and Limitation of Liability

9.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2 No Guarantee

We do not guarantee that the Service will be uninterrupted, secure, or error-free. We do not guarantee the accuracy, completeness, or usefulness of any information on the Service.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZOLANCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR GOODWILL.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ₹1,000, WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless Zolance, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Any content you submit or transmit through the Service

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

11.2 Dispute Resolution

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Mumbai, India.

11.3 Arbitration

Before filing a lawsuit, you agree to try to resolve the dispute informally by contacting us. If the dispute cannot be resolved within 30 days, either party may initiate arbitration proceedings under the Arbitration and Conciliation Act, 1996.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

  • Posting the updated Terms on this page
  • Updating the "Last updated" date
  • Sending an email notification to registered users (for significant changes)

Your continued use of the Service after any changes constitutes acceptance of the new Terms.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Zolance regarding the use of the Service, superseding any prior agreements.
