This End User License Agreement ("EULA" or "Agreement") is a binding contract between you ("User", "you") and Zolance ("Zolance", "we", "us") governing your installation and use of the Zolance application, website, and related services (collectively, the "Software").
By creating an account, accessing, or using the Software, you confirm that you have read, understood, and agree to be bound by this EULA, our Terms of Service and Privacy Policy. If you do not agree, do not use the Software.
Subject to your continued compliance with this EULA, Zolance grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software for your personal or internal business freelance and compliance management purposes.
This license is tied to your active account and (where applicable) your active subscription plan. Free-tier usage is subject to the feature and usage limits communicated in the app.
You agree not to, and not to permit any third party to:
The Software, including all code, designs, templates, logos, content, and documentation, is and remains the exclusive property of Zolance and its licensors, protected by Indian and international intellectual property laws. No rights are granted to you other than the limited license expressly set out in this EULA.
You retain all rights to the data, invoices, documents, and other content you create, upload, or generate using the Software ("User Content").
You grant Zolance a worldwide, royalty-free, non-exclusive license to host, store, process, transmit, display, and back up your User Content solely as necessary to operate, secure, and improve the Software and to provide it to you.
You are solely responsible for the accuracy, legality, and content of all data you submit, including invoice details, client information, GSTINs, and bank statements.
Paid features are governed by the pricing, billing, refund, and cancellation terms described on our Pricing page and our Terms of Service. Failure to pay applicable fees may result in suspension or termination of your license.
Zolance may release updates, patches, new features, or remove features at any time. Updates are deemed part of the Software and are governed by this EULA. We may deprecate features with reasonable advance notice via the app or email.
The Software integrates with third-party services such as the GST Network, RBI-bank payment rails, exchange-rate providers, payment gateways, and email/SMS providers. These services are provided by third parties under their own terms, and Zolance is not responsible for their availability, accuracy, or actions.
The Software is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. Zolance does not warrant that the Software will be uninterrupted, error-free, or that any compliance calculations, tax estimates, LUT/FIRA tracking, or generated documents will be free from errors or suitable for filing without independent review.
The Software is a productivity tool, not a substitute for advice from a qualified chartered accountant, tax professional, or lawyer.
To the maximum extent permitted by law, Zolance shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunities, arising out of or relating to this EULA or the Software.
Zolance's total aggregate liability for any claim arising under this EULA shall not exceed the total fees you paid to Zolance for the Software in the twelve (12) months immediately preceding the event giving rise to the claim, or ₹1,000, whichever is greater.
This license is effective until terminated. You may terminate it at any time by deleting your account. Zolance may suspend or terminate your license immediately if you breach this EULA, fail to pay applicable fees, or use the Software in a way that risks harm to Zolance, other users, or third parties.
Upon termination, your right to use the Software ceases immediately. Where practicable, Zolance will provide a reasonable window to export your User Content before deletion, as described in our Privacy Policy.
This EULA is governed by the laws of India, without regard to conflict-of-law principles. The courts at Bengaluru, Karnataka shall have exclusive jurisdiction over any dispute arising out of or in connection with this EULA, subject to any mandatory consumer-protection rights you may have under applicable law.
We may update this EULA from time to time. Material changes will be communicated via the app or email. Your continued use of the Software after changes take effect constitutes acceptance of the revised EULA.
